Senior Enterprise Software Licensing & Contracts Analyst:
On behalf of our client, Vaquarii is seeking a Senior Enterprise Software Licensing & Contracts Analyst for a 6-Month Contract. There is a high chance of extension.
The perfect candidate will evaluate a comprehensive inventory of all enterprise software license agreements and support contracts capturing: vendor, product, contract reference, contracting entity, term/renewal dates, notice periods, annual value, and any Change of Control, assignment, or anti-merger clauses. (*Ability to speak Spanish is a strong asset)
Services would be carried out through a Hybrid Schedule from downtown Calgary headquarters.
Responsibilities:
Contract Inventory & Analysis
- For each contract, assess the impact of the client’s acquisition transaction – specifically: whether a Change of Control clause is triggered, whether consent is required, whether the contracting entity changes, and what the risk of non-compliance is.
- Prioritize contracts by risk (assignment ban + termination trigger = Critical, as identified for SAP GTC Section 13.6) and by annual contract value
- Track the status of Change of Control notifications already issued and follow up to obtain written confirmation of good standing from vendors where required
- Identify contracts approaching renewal or expiry during the integration window (Jun 2026 – Nov 2027) and flag where renegotiation or consolidation is advisable before renewal
Detailed License Reconciliation
- Reconcile Microsoft M365 license SKUs and seat counts across both entities — identify gaps, over-licensing, and optimization opportunities as the two tenants are consolidated
- Reconcile SAP licensing position – confirm the license model under RISE with SAP covers the combined user population and the expanded module scope (including JVA, which is not currently in the Client’s footprint)
- Inventory GG&E floating license pools (Petrel, Kingdom, Spotfire, ARIES, WellView) across both entities and recommend a consolidated license model for the unified GG&E environment
- Review seismic data licenses (TGS, CGG, PGS, Searcher) and confirm whether each license transfers to the Client automatically or requires vendor consent – produce a notification status tracker
- Identify duplicate or redundant licenses across the combined estate and quantify the savings available through rationalization
Total Cost of Ownership & Rationalization
- Build a total cost of ownership model for the combined enterprise application estate – baseline spend (both entities) vs. target consolidated spend – identifying the cost case for rationalization decisions
- Support the Enterprise Architect and stream leads/functional leads in making platform consolidation decisions by providing the commercial and contractual analysis underlying each option
- Produce a post-integration license renewal calendar – identifying which contracts should be renegotiated, consolidated, or let lapse as the integration completes
Vendor Engagement Support
- Support the Integration IT Program Manager and Legal team in vendor negotiations related to Change of Control, license extensions, and contract innovations
- Prepare briefing materials for vendor meetings – summarizing the contract position, the specific clause at issue, Client’s proposed resolution, and any precedents from other transactions
- Maintain a vendor response tracker – logging all vendor responses to Change of Control notices and escalating unresolved items
Must Have Skills:
- 15+ years of experience as a Business Analyst or Contract Analyst, with a focus on enterprise software licensing and vendor contract management
- Demonstrable experience reviewing software license agreements – familiarity with common commercial structures (SaaS, perpetual, subscription, concurrent/floating user, enterprise agreement) and the clauses that matter in M&A contexts (Change of Control, assignment, anti-merger, successor-in-interest)
- Experience with at least two of the following vendor ecosystems: SAP, Microsoft (M365 EA, CSP, Azure), Oracle, SLB/Schlumberger, ESRI, or similar enterprise vendors
- Strong analytical skills – able to read a contract, identify the relevant clause, assess the risk, and summarize the position clearly for a non-legal audience
- Proficiency in Excel for inventory management, cost modelling, and status tracking
Nice to Have Skills:
- Oil and gas industry experience an advantage – familiarity with E&P petro-technical software (Petrel, Kingdom, ARIES, WellView) and seismic data licensing
- Experience working on post-merger integration programs
- Bilingual (English/Spanish)
